These Terms of Service ("Terms") govern your access to and use of proiproi (the "app", "platform",
"we", "us"). By creating an account or using proiproi, you agree to be bound by these Terms. If you
don't agree, don't use proiproi.
2. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your country) to use
proiproi. By using the platform, you confirm you meet this requirement.
3. Accounts
You sign in to proiproi using a Google or Apple account. You're responsible for keeping that
account secure and for all activity that happens under your proiproi profile. Let us know right away
if you suspect unauthorized use of your account.
4. Nature of the platform
Proiproi is a discovery and connection tool. It lets people post projects, describe roles they
need filled, and connect with potential collaborators. Proiproi:
is not a party to any arrangement, agreement, or collaboration formed between users;
does not vet, verify, or guarantee the identity, skill, or intentions of any user;
does not process payments and is not an employment, contracting, or freelance-hiring service;
takes no responsibility for the outcome of any project, collaboration, or communication between users.
Any agreement you make with another user about compensation, credit, ownership, or working terms
is strictly between you and that user. We strongly encourage putting collaboration terms in writing
outside the platform.
5. Your content
You retain ownership of the content you post (project descriptions, images, files, messages, and
so on). By posting content, you grant proiproi a non-exclusive, worldwide, royalty-free license to
host, store, display, and distribute it as necessary to operate the platform — for example, showing
your project on the map and in search results to other users.
You're responsible for making sure you have the rights to anything you post, and that it doesn't
infringe on anyone else's rights.
6. Acceptable use
When using proiproi, you agree not to:
Post spam or content unrelated to genuine project collaboration;
Disguise paid work, employment, or contractor hiring as a collaborative project;
Harass, threaten, or abuse other users;
Impersonate another person or misrepresent your affiliation with any entity;
Use proiproi to collect other users' information for purposes outside the platform (e.g. unsolicited marketing);
Attempt to circumvent the platform's security, rate limits, or moderation systems.
7. Communities
Communities are user-created spaces within proiproi. Community creators and admins are responsible
for the content and conduct within their community, subject to these Terms and our moderation
policies. Some communities may be restricted to users with a matching email domain, at the discretion
of proiproi's admin team; this affects visibility only and does not change these Terms.
8. Moderation and enforcement
We may review, remove, or restrict content and accounts that violate these Terms, including but
not limited to spam, disguised paid work, and harassment. Serious violations (e.g. harassment or
harmful content) may result in immediate account suspension. Moderation decisions in this version of
proiproi are made at our discretion, and there is currently no formal appeals process.
9. Intellectual property
The proiproi name, logo, and platform (excluding user content) are the property of proiproi and
may not be used without permission.
10. Disclaimers
Proiproi is provided "as is" and "as available," without warranties of any kind, express or
implied. We do not guarantee that the platform will be uninterrupted, secure, or error-free, or that
any project, collaboration, or connection made through proiproi will meet your expectations.
11. Limitation of liability
To the fullest extent permitted by law, proiproi and its founder are not liable for any indirect,
incidental, special, consequential, or punitive damages, or for any loss of profits, data, or
goodwill, arising from your use of the platform, or from any interaction, collaboration, or dispute
with another user.
To the fullest extent permitted by law, our total liability to you for any claim arising out of
or relating to proiproi will not exceed the greater of (a) the amount you paid to proiproi in the
twelve months before the claim arose (currently nothing, as proiproi is free to use) or (b) US$100.
Nothing in these Terms limits liability that cannot be limited under applicable law, including
liability for fraud, willful misconduct, or gross negligence. Some jurisdictions don't allow certain
limitations of liability, so parts of this section may not apply to you.
12. Termination
You may delete your account at any time from Settings. We may suspend or terminate your access to
proiproi if you violate these Terms.
13. Governing law and venue
These Terms, and any dispute arising out of or relating to them or to proiproi, are governed by
the laws of the State of California, without regard to its conflict-of-law principles.
You and proiproi agree that any such dispute will be brought exclusively in the state or federal
courts located in Los Angeles County, California, and you consent to the personal jurisdiction of
those courts. Nothing in this section limits any mandatory consumer-protection rights you have under
the laws of the place where you live.
14. Changes to these terms
We may update these Terms as proiproi evolves. Continued use of the platform after changes take
effect constitutes acceptance of the updated Terms.
